    Case Study - Managing Succession

BDO was approached by a family-owned supermarket business, founded and run by a number of brothers.

While all the shareholders settled into their own areas of responsibility over the years, one issue remained – how to plan for succession.

We helped the family agree a Family Constitution, which is similar in some ways to a shareholder agreement, but much broader, deeper and aspirational. Not only did it lay down a set of principles binding to all family members, such as rules for owning and distributing shares, it also governed how the second generation would join the business. In this case, the Constitution required that the second generation finished school and college and work outside the business for three years. They could only join if a suitable position came up which would require their qualifications. They would also have to go through the same rigorous application procedures as any outside candidate.

Also as part of our advice, the company established a Family Council so that family members, without day-to-day involvement in the business, could be kept in the loop. It also permitted two outside non-executive directors on board.

For further information about succsssion planning, talk to one of our experts in the private clients team.

    Your Needs

As a family business founder, thoughts of succession planning have probably crossed your mind. Making decisions as to who will run and own the business are complex. There will be as many factors influencing your choices as there will be possible outcomes.
